SPK bülteninde yapılan açıklamaya göre, halka açık olmayan ortaklıkların paylarının ilk halka arzlarında yatırımcı taleplerinin yüksek oranda karşılanması için bazı düzenlemeler yapılmıştır. Bu düzenlemelere göre:
– Halka arz edilen payların piyasa değeri 750 milyon lira ve altı olan halka arzlarda borsada satış yöntemi zorunlu olacaktır.
– Halka arz edilen payların piyasa değeri 750 milyon lira ve üzeri olan halka arzlarda borsa dışında talep toplama yoluyla satış yöntemi kullanılacak ve yurt içi bireysel yatırımcı grubuna eşit dağıtım yapılacaktır.
– Yüksek talepte bulunan yatırımcı grubu için halka arz edilecek toplam tutarın yüzde 10’una kadar tahsisat yapılabilecek ve eşit dağıtım veya oransal dağıtım yöntemleri kullanılabilecektir.
– Kurumsal yatırımcı grubunda yapılacak dağıtımlarda, tahsis edilen pay tutarının en az yüzde 50’sinin yatırım fonlarına dağıtılması esas olacak ve her bir kurumsal yatırımcı bazında dağıtılacak pay tutarı, halka arz edilen payların toplam tutarının yüzde 1’ini aşmayacaktır.
– Portföy yönetim şirketlerinin kurucu veya yöneticisi olduğu fonlarda sınırlama yüzde 3 olarak uygulanacak ve bu şirketlerin kendi portföyleri için aldıkları paylar bireysel yatırımcı hesaplarına aktarılamayacaktır.
– Yurt dışı yatırımcılar hakkında gerekli inceleme yapılacağına dair taahhütname verilecek ve paylar hesaplara geçtikten sonra 90 gün boyunca borsa dışında satılamayacaktır.
Bu düzenlemelerin amacı, halka arz edilen payların adil bir şekilde dağıtılmasını sağlamak ve yatırımcıların haklarını korumaktır. Bu kapsamda, payların satışıyla ilgili detaylı prosedürler belirlenmiş ve uygulanması gereken kurallar açıklanmıştır.
